B2B TERMS AND CONDITIONS
The following terms and conditions
shall apply for all contracts between you as client and Blush Indigo
Jewellery about ordered products and delivery in Blush Indigo's B2B
(Business to Business) online shop www.blush-indigo.com.

IMPORTANT NOTICE
These terms and conditions apply when you order or buy products from this B2B website. The Terms and Conditions may be updated from time to time (for example to reflect changes in technology, our business model, our system capacity, or relevant laws and regulations), and we therefore ask you to accept the Terms and Conditions every time you order with us. Any reference to "you" or "your" means you as a retailer of this B2B webshop, any reference to "we", "us" or "our" means Blush Indigo Jewellery.
If you do not accept these Terms and Conditions, you cannot order or purchase products on this website.
By placing an order with Blush Indigo
Jewellery the client agrees to adhere to these conditions without
reservation. Any contradictions that may occur on the client’s or
his representative’s purchase orders, documents or letters will be
deemed null and void.
To activate your account we will need your
VAT Number to proof your entrepreneurship. Please send us additional
information (link to homepage and/or social media platform) as well
as an excerpt from the commercial register if available.
ORDERING
Purchase orders can only be placed with Blush Indigo Jewellery. The minimum order value is €300.
Before submitting the order, you have the option of changing the information that you have provided including payment information or delivery and billing information. Please be aware, that you can only change your billing information if you are logged in to your Blush Indigo Jewellery business account and create separate addresses. Furthermore, you have the option of making changes to your order or to remove products from your shopping basket.
When you click "Place order" and the receipt appears on your screen, you are bound by the contract of purchase.
You have the right to withdraw from this If you experience any problems or made a mistake while placing your order, please contact us.
Your order has been confirmed when you receive a confirmation email from Blush Indigo Jewellery.
After a period of 5 working days, no further changes can be made by either of the parties. As soon as the order is shipped no further changes can be made by the client.
The sales prices are net of
tax.
LANGUAGE OF THE CONTRACT
This contract may only be concluded in English.
ACCESS TO THE CONTRACT
You will receive a confirmation of the
content of the contract and a copy of these Terms and Conditions by
email. We store concluded contracts, including the order
confirmation, for a reasonable amount of time, and we recommend that
you save these documents as well; they may not necessarily be
available on this website subsequently.
TERMS OF
DELIVERY
Upon receiving your order we will inform you of the
potential delivery dates (subject to availability of
stocks/necessities of customer). We usually deliver within a week.
Transport cost is not included in
the product price. Shipping cost with DHL will be 6,50 Euro within
Germany and 10 Euro within the EU. We deliver to Germany, Belgium,
France, Greece, United Kingdom and Ireland (Pre-Brexit), Italy,
Liechtenstein, Luxembourg, the Netherlands, Norway, Austria, Poland,
Portugal, Sweden, Spain.
Loss or damage to goods during
transportation: The Buyer shall bear all costs and risks related to
transport. In case of damages, theft, total or partial loss of goods,
any recourse must be performed by the Buyer against the delivery
agent and all complaints must be made within the set deadlines and
according to the procedure.
If the package is not picked up and
any kind of fee is added, you are responsible for the extra cost and
will be charged all costs and expenses associated with the return
shipment.
RETAIL PRICES
We suggest a margin of
3,6. For example: The wholesale price for a bracelet is 2,50 net of
tax (2,97 gross). Your retail price should be 9,00 Euro. You are
allowed a maximum of 10% difference from our suggested retail
price.
TERMS OF PAYMENT
CURRENCIES
Payments, as well as refunds are
invoiced in Euro (EUR).
A) We accept payment by bank transfer, Klarna, Paypal or Credit Card. Note that we only accept payment on account by clients whose business is in Germany and who have been placing orders with us before (frequent buyers).
B) As soon as your order is ready for
shipping we will notify you and send you a pro forma invoice. Payment
must be made complete and in advance if this is your first order at
Blush Indigo and your business is not in Germany.
C) All invoices
are dated the day the goods are made available to the customer and
are valid on the day of dispatch.
D) The default of payment of an invoice on the due date, by express agreement, shall involve:
- Immediate payability of all amounts owed
- Blush Indigo shall have the right to cancel fully or partially all outstanding orders
- The payability of an indemnity based
on a penalty clause equal to ten percent (10%) of the balance owing,
as well as the reimbursement of all judiciary and extra-judiciary
fees that may occur.
PAYMENT BY CREDIT CARD
We accept VISA and Mastercard credit cards, Paypal and Klarna.
Please enter your card details on our payment site. Blush Indigo uses state-of-the-art server security software with SSL encryption which provides the safe and bug-proof transmission of your card details.
The order amount will be deposited on
your card as a payment reservation until your order has either been
sent (then the amount will be booked) or cancelled (then the payment
reservation will be cancelled).
Wire Transfer / Payment in
Advance
After receiving the pro forma invoice please transfer the total amount to the following account within 48 hours. In order for us to be able to process your payment, it is crucial you label your transaction with your order number provided in the email.

Possible transfer costs as well as
bank fees will be charged to the customer.
Your order will be dispatched upon receipt of payment on our account.
Refunds from returns will be charged
back to the bank account which the original order was paid
from.
Returns policy
You have the right to withdraw from
this contract within 48 hours after reception of the order and only
by stating the discrepancies. Please notify us by email to
hello@blush-indigo.com. Please note that we do not cover the cost of
returns unless they are due to a fault of ours or a claim.
If your products are non-conforming or
we have delivered the incorrect products, please contact us via
email. You are not responsible for costs associated with the return
of non-conforming or incorrect products.
REFUSAL OF ACCEPTANCE OF MERCHANDISE
A complaint can only be accepted if made in the 7 days after receipt of merchandise.

Under no circumstances, the buyer can return a merchandise for consideration without authorization by Blush Indigo. Items may be returned upon the receipt of return authorization. If the complaint proves to be justified, the items shall be replaced, or, when this is not possible, the buyer shall obtain credit note.
DELAY IN DELIVERY
In case of delay in delivery, no cancellation of items can be regarded as valid, unless there has been a notice of default. The manufacturer reserves the right to dispatch within a maximum delay of 15 days.
The Buyer cannot send a notice of default before the date of expiry.
If Blush Indigo can convincingly justify the impossibility of delivery due to force majeure (such as fires, flooding or all other incidents that may cause full or partial destruction of the company’s premises, stocks or supplies or its nonoperation) or unplanned delays in the delivery of raw materials or defective deliveries by the company’s suppliers or service providers, the sales contract can be affected.
In this case the Buyer cannot claim
delivery on the previously confirmed date nor ask for any
compensation whatsoever.
RETENTION OF TITLE CLAUSE
Delivered products remain the property of Blush Indigo until the complete payment has been effected. The buyer is committed to selling the merchandise only to his individual customers. In case of seizure of the products and accessories by a third party, the buyer needs to immediately inform Blush Indigo. Despite the application of the current property reservation clause, the buyer will bear the expense of risks in case of loss or destruction during the time of transport of goods and after delivery at his premises. The Buyer will also bear the expense of insurance costs, if he takes out insurance to cover these risks.
MARKETING AND LOGO TAG
You will
have access to campaign, product and lifestyle images you can share
on your social media channels and your homepage for marketing and
promotion. Blush Indigo Jewellery must be linked to @blushindigo and
specifically named in all your activities when using our images.
All
items are delivered with a circular logo tag of Blush Indigo. The
Buyer can under no circumstances remove or modify these labels in any
way.
All Blush Indigo jewellery is packaged in
colorful paper pouches with a greeting card. The packaging is free of
charge and must be made available to your client who purchases our
jewellery (also free of charge).
ACCOUNT
To prevent unauthorized access to your Blush Indigo business account, you are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer. You agree to accept responsibility for all activities that occur under your account or password.
Please take all necessary steps to ensure that your password is kept confidential and secure. You should inform us if there is any reason to believe that your password has become known to anyone else, or if the password is being, or is likely to be, used in an unauthorised manner.
You must ensure that the details which are provided to us are correct at the time of registration.

We treat your personal data confidentially. Please read our Privacy Policy that explains how we use the personal data that you provide in connection with the ordering procedure, and your use of this website in general.
